Federal-Mogul Corporation

     This entity is the ultimate parent company of all the Federal-Mogul entities. It was founded in 1899 and incorporated on May 1, 1924. It is an original equipment and aftermarket automotive parts manufacturer and distributor. Over the course of the twentieth century this entity grew from a one-product manufacturer to the diversified company it is today through a series of mergers and acquisitions. Carter Automotive Company, Inc.

     This entity's business, which involved the manufacture of carburetors in Missouri and Tennessee, was phased out in the early 1990's when electrical fuel pumps began replacing carburetors. Accordingly, this entity has been non-operational for approximately a decade. Although a number of lawsuits and environmental claims are still pending against this entity, and this entity guaranteed certain debt owed by the parent company, Federal-Mogul Corporation, the Debtors do not believe that this entity has any outstanding trade claims.

Federal-Mogul Dutch Holdings Inc.

     This is a non-operational holding company. It owns the stock of a non-debtor affiliate in Netherlands. Although this entity guaranteed certain debt owed by the parent company, Federal-Mogul Corporation, the Debtors do not believe that there are any outstanding trade claims against this entity.

Federal-Mogul FX, Inc.

     This entity engaged in various foreign currency swap transactions for affiliated companies prior to the Petition Date, which was its only business purpose. It has not conducted any business since the Petition Date.

Federal-Mogul Global Inc.

     This is a non-operational holding company. It owns the stock of a non-debtor affiliate in Netherlands, a debtor-affiliate in England, and a portion of the stock of two joint venture companies in China. Although this entity guaranteed certain debt owed by the parent company, Federal-Mogul Corporation, the Debtors do not believe that there are any outstanding trade claims against this entity.

Federal-Mogul Global Properties, Inc.

     This is a non-operational holding company, which holds stock in a number of non-debtor affiliates. Although this entity guaranteed certain debt owed by the parent company, Federal-Mogul Corporation, the Debtors do not believe that there are any outstanding trade claims against this entity.

Federal-Mogul Machine Tool, Inc.

     This entity, previously known as Federal-Mogul Tri-Way, Inc., and Federal-Mogul Sterling Heights, Inc., sold its machine tool business and most of its assets which were located in Windsor, Ontario, in September, 2001. This entity has not conducted any operations since the Petition Date.

Federal-Mogul Mystic, Inc.

     This entity, previously known as Federal-Mogul RPB, Inc., and Glacier RPB Inc., sold its rotating plant bearing and magnetic bearing business, which was located in Mystic, Connecticut, in August, 2001. This entity has not conducted any operations since the Petition Date. Although this entity guaranteed certain debt owed by the parent company, Federal-Mogul Corporation, the Debtors do not believe that there are any outstanding trade claims against this entity.

Federal-Mogul Puerto Rico, Inc.

     This entity has not conducted any operations for a number of years. The Debtors do not believe that there are any outstanding trade claims against this entity.

Federal-Mogul U.K. Holdings, Inc.

     This is a non-operational holding company. It owns the stock of two debtor affiliates. Although this entity guaranteed certain debt owed by the parent company, Federal-Mogul Corporation, the Debtors do not believe that there are any outstanding trade claims against this entity.

Federal-Mogul Venture Corporation

     This entity was incorporated on July 21, 1989, as a wholly owned subsidiary of Federal-Mogul Corporation. It was formed for the purpose of holding a 49% interest in a joint venture involved in the manufacturing of oil seals in Summerton, South Carolina. On February 9, 1998 this entity acquired the remaining 51% interest in the joint venture.

Federal-Mogul World Wide, Inc.

     This is a non-operational holding company, which holds stock interests in certain non-debtor subsidiaries in Germany, owns a substantial portion of the Debtors' intellectual property registered in the United States, and owns certain real property located in Ann Arbor, Michigan.

Felt Products Manufacturing Co.

     Felt Products Manufacturing Co. ("Felt Products") is a non-operational company. Felt Products, and its wholly owned subsidiary, Fel-Pro Inc. ("Fel-Pro"), which were acquired by Federal-Mogul Corporation in 1998, manufactured and sold a full line of engine gaskets for approximately 75 years. Shortly after its 1998 acquisition, Fel-Pro was merged into Felt Products, and the stock of Fel-Pro was cancelled. Thereafter, all of the assets and liabilities of Felt Products were transferred to Federal-Mogul Corporation, except for the asbestos liability and the insurance policies covering such asbestos liability.

Ferodo America, Inc.

     Ferodo America, Inc. ("Ferodo") is a non-operational company. Until October, 2000, Ferodo manufactured disc pads, clutch facings and brake linings at facilities in the following locations: Haddonfield, New Jersey; Newbury Park, California; Smithville, Tennessee; and New Castle, Indiana. In October, 2000, Ferodo sold all of its assets and liabilities, except for its asbestos liabilities, various inter-company account balances, and its stock in Ferodo Holdings, Inc. to Federal-Mogul Products, Inc. Ferodo is a subsidiary of T&N Industries, Inc., and was acquired by Federal-Mogul Corporation on March 13, 1998. Since 1981, Ferodo, or its predecessors, have existed or operated under the following names:

Gasket Holdings Inc.

     This entity, previously known as Flexitallic, Inc., sold its business approximately five years ago. It has continued to exist as a non-operating company since that time. Flexitallic, Inc. manufactured a spiral wound industrial gasket used in pipe flanges.

J.W.J. Holdings, Inc.

     This entity has not conducted any operations for a number of years. The Debtors do not believe that there are any outstanding trade claims against this entity.

McCord Sealing, Inc.

     This is a non-operational holding company, which holds a partnership interest in a non-debtor affiliate, McCord Leakless Sealing Company, Inc. Although this entity guaranteed certain debt owed by the parent company, Federal-Mogul Corporation, the Debtors do not believe that there are any outstanding trade claims against this entity.

T&N Industries, Inc.

     This entity was incorporated on June 14, 1977 to be the holding company for the T&N plc U.S. operations. This entity was formally known as T&N, Inc. This entity was acquired by Federal-Mogul Corporation on March 13, 1998. This is a non-operational holding company, which holds the stock of four debtor affiliates.
